Description
Oakland County, through its Water Resources Commissioner, is seeking licensed and insured attorneys or law firms to provide bond counsel services for the planning, authorization, sale, issuance, and delivery of debt instruments, including bonds and notes. The scope includes legal advice on municipal finance and tax matters; preparation and review of authorizing documents, trust indentures, escrow agreements, trustee, registrar, and paying-agent agreements; disclosure and continuing-disclosure documents; notices of sale and purchase contracts; compliance with federal and Michigan law, IRS regulations, SEC and MSRB requirements; and assistance with rating organizations, credit enhancement providers, financial advisors, underwriters, County officials, and drainage districts. Proposals must address the firm's background and experience with Michigan's Municipal Finance Act and Revenue Bond Act, municipal and public-sector law, proposed legal personnel, references, fees and fee structure, engagement and fee agreement, non-billable services, conflict procedures, sustainability and diversity-related information, and professional liability insurance. The technical proposal is limited to 25 pages including attachments, and the response must be uploaded as one combined document with a separately labeled pricing document.
