Description
The Authority seeks a qualified law firm to serve as disclosure counsel for future taxable and tax-exempt debt transactions, including new issuances and refundings, and ongoing debt-related matters such as trust indenture and continuing disclosure compliance. Services include preparing preliminary and final official statements and continuing disclosure agreements, advising on disclosure issues and transaction timing, negotiating disclosure matters with underwriters, and preparing primary- and secondary-market disclosure documents. The selected firm must have relevant municipal bond, securities, tax, local government, and bond-validation experience; the Authority's current bond counsel and its affiliates are ineligible. Fees will be negotiated after selection as financing transactions arise; the Authority does not guarantee any financing volume. The engagement is initially five years, with two optional two-year extensions.
