Description
The Santa Clara County Housing Authority, together with its financial advisor, CSG Advisors Inc., is soliciting proposals from qualified underwriting firms to underwrite one or more fixed-rate bond issuances for its Strategic Acquisition Pilot Program. The bonds are expected to be issued on a negotiated, tax-exempt basis in one or more series or tranches, with an anticipated principal amount of $50 million to $250 million per issuance. Proceeds may fund the takeout of amounts drawn under a revolving line of credit or other short-term facility, additional acquisition, rehabilitation, renovation, and development costs, debt service reserve funding, and costs of issuance. Proposals must address the recommended financing structure, rating-agency strategy, marketing and distribution plan, pricing and interest-rate expectations, underwriting ratios and credit requirements, continuing disclosure and post-issuance compliance, legal counsel, qualifications and relevant experience, proposed team, and references. The separately submitted cost proposal must provide pricing formulas and total dollar amounts for $100 million and $200 million illustrative par-amount scenarios, including the underwriter’s takedown, management fee, underwriting expenses, counsel fees, and other underwriter-related costs. The solicitation does not create an exclusive underwriting relationship and may cover multiple future financings.
