Description
The Office of Strategic Capital, within the U.S. Department of War, is soliciting proposals from professionally managed debt investment fund managers for one or more multi-draw term loan credit facilities. Each facility may provide between $500 million and $1 billion, subject to a cap of the lesser of the applicable facility limit or 125% of the fund's total equity capitalization. The facilities are intended to combine government loans with private capital to finance first- and second-lien loans to portfolio companies addressing gaps, shortages, and vulnerabilities in critical minerals and materials supply chains important to U.S. national security. Eligible applicants must be U.S.-formed professional fund managers with significant U.S. operations, assets under management, operating history, financial reporting capabilities, cyber standards, relevant investment experience, and required registrations or certifications, including SEC investment-adviser registration unless otherwise approved. Proposals must include four volumes covering firm and fund information, eligibility, investment strategy, other information, and any proposed revisions to the standard credit-facility terms. Required materials include extensive organizational, ownership, financial, investment-track-record, regulatory, fund-governance, portfolio, and legal documentation, including specified attachments and questionnaires. Draws are restricted to eligible assets and subject to national-security, foreign-influence, concentration, collateral, borrowing-base, and reporting requirements.
