Description
The City of South Pasadena is seeking a qualified underwriter for a negotiated sale of approximately $20 million to $30 million of 2026 Water Revenue Refunding Bonds. The bonds are expected to refund all or a portion of the City's outstanding 2016 Water Revenue Refunding Bonds, with the final size and structure dependent on market conditions and positive savings potential. The underwriter will prepare interest-rate scales and refunding-savings analyses; advise on financing alternatives, debt structure, maturities, coupons, calls, redemption features, credit ratings, and credit enhancement; review financing documents and official statements; develop and execute a marketing plan; coordinate due diligence and regulatory requirements; analyze market timing; market and price the bonds; commit reasonable capital; purchase the bonds under an approved Bond Purchase Agreement; coordinate closing participants and CUSIPs; and prepare a post-sale analysis. Proposals must include firm qualifications and relevant California water and sewer revenue bond experience, proposed staffing, references, structuring and marketing approaches, a savings analysis based on a December 2026 closing, and a detailed not-to-exceed compensation proposal.
