Submission Instructions
In Person or Electronic via Empire State Purchasing Group website (bidnet.com) or mail to Saratoga County Purchasing Department, 50 West High Street, Ballston Spa, NY 12020. Electronic submissions must be submitted ONLY through the Empire State Purchasing Group (bidnet) website. Any electronic bid submitted in any other manner will not be considered. Bids must be addressed to the Saratoga County Purchasing Department, 50 West High Street, Ballston Spa, NY 12020 and must be in a sealed envelope plainly marked - BID FOR Night Vision Sight. All bids received after the deadline, by any delivery method, will be considered late and will be returned unopened. The bidder assumes the risk of any delay in the mail or in the handling of the mail by employees of the County. The bidder assumes responsibility for having his bid deposited on time at the places specified. The County will not accept facsimile or e-mail bids. All information required by the InstructionstoBidders,Specifications,andBidOffer,inconnectionwitheachitemagainstwhichabidissubmitted,mustbegiventoconstitutearegularbid.TheCountyreservestherighttorejectanyincompletebid. Thesubmissionofabidwillbeconstruedtomeanthatthebidderisfullyinformedastotheextentandcharacterof thesupplies,materials,servicesorequipmentrequiredandarepresentationthatthebiddercanfurnishthesupplies, services,materials,orequipmentincompletecompliancewiththespecifications. Noalteration,erasure,oradditionistobemadeinthetypewritten or printed matter. Deviations from the specificationsmustbeindicatedinthespaceprovidedon thebidformsoradditionalsheetofpaper. Prices and information required, except signature of bidder,shouldbetypewrittenforlegibility.Illegibleorvaguebidsmayberejected. Allsignaturesmustbeoriginalsignatures. Photocopied,facsimile,printed,stamped,ortypewrittensignatureswillnotbeaccepted,unlesselectronicbidsareaccepted. Nocharge will be allowed for federal, state, or municipal sales and excise taxes since the County is exemptfromsuchtaxes.Thepricebidshallbenetand shallnotincludetheamountofanysuchtax.TheCounty ofSaratogaisalsoexemptfromTransportationTax. Inallspecifications,thewords"orequal"areunderstoodaftereacharticlegivingamanufacturer'sname orcatalogreference,oronanypatentedarticle,unless,for reasonsofefficiencyand economy, theBoard of Supervisorshaspassedaresolution"standardizing"certain equipmentpurchases.ThedecisionoftheCountyasto whetheranalternateorsubstitutionisinfact"equal"shall befinal.Ifbiddingonitemsotherthanthosespecified,the bidder must in every instance give the trade designationoftheitem,manufacturer'sname,anddetailed specificationoftheitem he proposes to furnish. Otherwise,thebidwillbeconstruedas submittedontheidenticalitemasspecified. Bidsonequipmentmustbestandardnewequipment,of latestmodel,andincurrentproduction,unlessotherwise specified. 11.Allregularlymanufacturedstockelectricalitemsmust bear the label of the Underwriters' Laboratories, Inc. 12.Whenbidsarerequestedonalumpsumbasis,bidder mustbidoneachiteminthelumpsumgroup.Abidder desiringtobid"nocharge" on an item in a groupmust so indicate; otherwise the bid for that group may be rejected. 13.Allpricesquotedmustbe"perunit"asspecified;donot quote"percase"when"perdozen"isrequested;otherwise thebidmayberejected. 14.Ifindicatedinthebiddocuments,allbiddersmustinsert thepriceper unit and the extensions against eachitem intheirbid.Intheeventofadiscrepancybetweentheunit priceandtheextension,theunitpricewillgovern.Prices shallbeextendedindecimals,notfractions. 15.PricesshallbenetF.O.B.totherequestingSaratoga Countydepartment.Iftheawardismadeonanyother basis, transportation charges must be prepaid by the successfulbidderandaddedtotheinvoiceasaseparate item.Inanycase,titleshallnotpassuntilitemshavebeen deliveredandaccepted. 16.Allbidsmustbesealed.Bidsmaybesubmittedeitherin plainoropaqueenvelopes.Allbidsmustbeaddressedto theDirectorofPurchasing.Bidenvelopesmustbeclearly markedwiththebidname,thedateandtimeofthebid opening,asindicatedontheNoticetoBidders.Bidsmust notbeattached to or enclosed in packages containing bidsamples.Telephonedquotationsor amendments will notbeacceptedatanytime.TheCountywillnotacceptfacsimileore-mailbids. 17.Nointerpretationofthemeaningofthespecificationsor othercontractdocumentwillbemadetoanybidderorally. Everyrequestforsuchinterpretationshouldbeinwriting, addressedtotheCounty,notlaterthanfive(5)dayspriorto thedatefixedfortheopeningofbids.Noticeofanyandall suchinterpretationsandanysupplementalinstructionswill besenttoallbiddersofrecordbytheCountyintheformof addendatothespecifications.Alladdendasoissuedshall becomeapartofthecontractdocuments. SAMPLES 18.Allspecificationsareminimumstandards;andaccepted bidsamples do not supersede specification for quality unlessthebidsampleissuperior,inwhichcase,deliveries mustbethesameidentityandqualityasacceptedbid sample. 19. The County reserves the right to request a representativesampleoftheitemquotedpriortotheaward orbeforeshipmentsaremade.Ifthesampleisnotin accordancewiththerequirementsofthespecification,the Countymayrejectthebid;or,ifawardhasbeenmade, cancelthecontractattheexpenseofthesuccessfulbidder. 20.Samples,whenrequired,mustbesubmittedstrictlyin accordancewiththeinstructions;otherwise,thebidmay notbeconsidered.Ifsamplesarerequestedsubsequentto bid opening, they shall be delivered within ten (10) businessdaysoftherequest,orasdirected,forthebidto haveconsideration.Samplesmustbefurnishedfreeof charge and must be accompanied by descriptive memorandumindicatingifthebidderdesirestheirreturnand specifyingtheaddresstowhichtheyaretobereturned providedtheyhavenotbeenusedormadeuselessbytests. Awardsamplesmaybeheldforcomparisonwithdeliveries. The County will not be responsible for any samples destroyedormutilatedbyexaminationortesting.Samples shallberemovedbythebidderattheirexpense.Samples notremovedwithinfifteen(15)daysafterwrittennoticeto thebidderwillberegardedasabandonedandtheCounty shallhavetherighttodisposeofthemasitsownproperty. 21. When a specification indicates that an item to be purchasedistobeequaltoasample,suchsamplewillbe ondisplayatadesignatedlocationintheCounty.Failure onthepartofthebiddertoexaminesampleshallnotentitle him to any relief from the conditions imposed in the proposal,specification,etc. AWARD 22. Awardswillbemadetothelowestresponsiblebidder unless Best Value Methodology is indicated in the bid documents,takingintoconsiderationthereliabilityofthe bidder,thequalityofthematerials,services,equipment,or supplies to be furnished, theirconformity with the specifications,thepurposesforwhichrequired,andthe termsofdelivery.Ifused,theBestValueAwardcriteriawill belistedinthespecification. 23.TheCountyreservestherighttorejectallbids.Also reservedtotheCountyistherighttoreject,forcause,any bidinwholeorinpartandtowaivetechnicaldefects; qualifications; irregularities; and omissions if in the County ' s judgementthebestinterestsoftheCountywill beserved.Alsoreservedistherighttorejectbidsandto purchaseitemsonStateorCountycontractorBOCESor othermunicipalbidsifsuchitemscanbeobtainedata lowerprice. 24.TheCountyreservestherighttomakeawardswithin forty-five(45)daysafterthedateofthebidopeningduring whichperiodbidsmaynotbewithdrawnunlessthebidder canprovethattheirsubmissionhasanobviousclerical errororwheretheenforcementofthebidwouldimpose unconscionablehardshiponthebidder. 25.Under NYS General Municipal Law Section (103), subdivision(3),itistheintentofthisRequestForBidsthat allpoliticalsubdivisions,anddistrictslocatedintheStateof NewYork,beentitledtomakepurchasesofmaterials, equipmentorsuppliesfromtheresultingbidaward.Each participatingentityshallbebilledbyandmakepayment directlytothesuccessfulbidder.Intheeventofafailureor breachinperformanceofanysuchbidbyaparticipating entity or the successful bidder, Saratoga County, specificallyandexpresslydisclaimsanyandallliabilityfor suchdefectiveperformanceorbreach,orfailureofeither party to perform in accordance with its obligations, covenantsandthetermsandconditionsofthisbid. 26. Where a bidder is requested to submit a bid on individualitemsandalsoonatotalsumorsums,theright isreservedtoawardbidsonindividualitemsorontotal sums. PROTESTPROCEDURE 27.AformalProtestconcerningapendingcontractaward mustbereceivedwithinfive(5)businessdaysafterthe protestingpartyknowsorshouldhaveknownofthefacts thatformthebasisoftheprotest. 28. Theformalprotestmustbesubmittedinwritingtothe SaratogaCountyDepartmentofCentralServiceseitherby mail(50WestHighStreet,BallstonSpa,NewYork, 12020 ) , faxore-mailto ogs @saratogacountyny.gov 29. Theformalprotestmustinclude: a. Thebidnumberandprotesterscontactinformation b. Astatementofthegroundsfortheprotest,specific informationisrequired c. Adescriptionofallremediesorreliefrequested d. Allsupportingdocumentation 30. TheDirectorofPurchasing,inconsultationwiththe CountyAttorney,willreviewtheprotestanddraftaformal responsetotheprotester. ThisNoticeofDecisionshall statethebasisofthedecisionandinformtheprotesterof therighttoappealtotheSaratogaCountyAdministrator. ThedecisionbytheDirectorofPurchasingshallbeafinal andconclusivedeterminationunlessappealed,inwriting, totheCountyAdministrator(40McMasterStreet,Ballston Spa,NewYork12020)withinten(10)businessdaysafter receiptoftheNoticeofDecisionissenttotheprotestor. 31. TheCountyAdministratorshallhearandmakeafinal determinationonallappeals. TheCountyAdministrator may designate a person or persons to act on his/her behalf. A formal appeal may not introduce new facts unless responding to issues raised by the Director of Purchasingintheinitialprotestdetermination. CONTRACT 32.Eachbidwillbereceivedwiththeunderstandingthat theacceptancethereofbytheCounty,approvedbythe County,tofurnishanyoralloftheitemsdescribedtherein shallconstituteacontractbetweenthesuccessfulbidder andtheCounty.TheContractshallbindthesuccessful bidderonhisparttofurnishanddeliveratthepricesandin accordance with the conditions of the bid. Minimum Ordersarenotacceptable;theContractwillbeforallitems actuallyordered.TheContractshallbindtheCountyonits parttoorderfromsuchsuccessfulbidder(exceptinthe caseofemergency)andtopayforatthecontractprices, allitemsorderedanddelivered,unlessotherwisespecified. Paymentswillbeprocessedafterthereceiptofaproper invoicefromthesuccessfulbidder. 33.Theplacinginthemailofanoticeofawardorpurchase ordertoasuccessfulbidder,totheaddressgiveninthe successful bid, will be considered sufficient notice of acceptanceofcontract. 34.Ifthesuccessfulbidderfailstodeliverwithinthetime specified or within a reasonable amount of time as interpretedbytheCounty,orfailstomakereplacementof rejectedarticles,whensorequested,immediatelyoras directedbytheCounty,theCountymaypurchasefromother sources to take the place of the item rejected or not delivered. The County reserves the right to authorize immediatepurchasefromothersourcesagainstrejections onanycontractwhennecessary.Onallsuchpurchasesthe successfulbidderagreestoreimbursetheCountypromptly forexcesscostsoccasionedbysuchpurchases.Shouldthe costbeless,thesuccessfulbiddershallhavenoclaimtothe difference.Suchpurchaseswillbedeductedfromcontract quantity.WhenevertheCountyseekslegalenforcementof theprovisionsofsaidcontract,thesuccessfulbiddershall beliableforpaymentoftheCounty'slegalcosts,including reasonableattorney'sfees. 35.TheCountymaycancelthecontractinwritingwith10 days'noticeuponnon-performanceofthecontract. 36.Ifthesuccessfulbidderfailstodeliverasordered,the Countyreservestherighttocancelthecontractand purchasethebalancefromothersourcesatthesuccessful bidder'sexpense. 37.Cancellationofacontractforanyreasonmayresultin thebidderbeingfoundasnon-responsive/non-responsible andremovalofthesuccessfulbidder'snamefrommailing listsforfutureproposalsuntilsuchtimethattheCountyhas determinedthebidderhasresolvedanyissuesthatcaused theinitialfinding. 38.Whenmaterials,equipment,servicesorsupplies are rejected,theymustberemovedbythesuccessfulbidde r fromthepremisesoftheCountywithinfivebusiness(5) daysofnotification.Rejecteditemsleftlongerthanfive business(5)dayswillberegardedasabandoned,andthe Countyshallhavetherighttodisposeofthemasitsown property. 39.Noitemsareto be shippedor delivered until the successfulbidderreceivesanofficialorderfromthe County. 40.Itismutuallyunderstoodandagreedthatthe successfulbiddershallnotassign,transfer,convey,sublet, orotherwisedisposeofthecontractorhisright,title,or interesttherein,orhispowertoexecutesuchcontractto anyotherperson,company,orcorporation,withoutthe previouswrittenconsentoftheCounty. INSTALLATIONOFEQUIPMENT 41.Thesuccessfulbiddershallcleanupandremoveall debrisandrubbishresultingfromhisworkfromtimetotime asrequiredordirected.Uponcompletionoftheworkthe premisesshallbeleftinaneat,unobstructedcondition,and thebuildingsbroomcleaned, andeverythinginperfectrepairandorder. 42.Equipment,supplies,servicesandmaterialsshallbe storedatthesiteonlyontheapprovaloftheCountyandat thesuccessfulbidder'srisk.Ingeneral,suchon-sitestorage shouldbeavoidedtopreventpossibledamageorlossofthe material. 43. Workshallbeprogressedsoastocausetheleast inconveniencetotheCountyandwithproperconsideration fortherightsofothersuccessfulbiddersorworkmen.The successful bidder shall keep in touch with the entire operationandhandleinstallationworkpromptly. 44.Biddersshallacquaintthemselveswithconditionstobe foundattheprojectsite,orsites,andshallassumeall responsibilityforplacingandinstallingtheequipmentin thelocationsrequired. 45. Equipment for trade-in shall be dismantled by the successful bidder and removed at his expense. The conditionofthetrade-inequipmentatthetimeitisturned overtothesuccessfulbiddershallbethesameascovered inthespecifications,exceptasaffectedbynormalwearand tearfromuseuptothetimeoftrade-in.Allequipmentis represented " asis " .Equipmentisavailableforinspection onlyatthedeliverypointlistedunlessotherwisespecified. 46.Thesuccessfulbidderguarantees: * Theproductsagainstdefectivematerialor workmanship and will repair or replace any damagesormarringoccasionedintransit. * To furnish adequate protection from damageforallworkandtorepairdamagesofanykindforwhichthesuccessfulbidderorits workers are responsible, to the building or equipment,totheirownwork,ortotheworkof othersuccessfulbidders. * Tocarryadequateinsurancetoprotectthe Countyfromlossincaseofaccident,fire,theft, etc. * Thattheequipmentorfurnitureofferedis standard, new, latest model of regular stock productorasrequiredbythespecifications,with partsregularlyusedforthetypeofequipmentor furnitureoffered:alsothatnoattachmentorpart has been substituted or applied contrary to manufacturer'srecommendationsandstandard practice. Every unit delivered must be guaranteed against faulty material and workmanshipforaperiodofatleastoneyear fromdateofdelivery.Ifduringthisperiodsuch faultsdevelop,thesuccessfulbidderagreesto replacetheunitorthepartaffectedwithoutcost totheCounty. * Any merchandise provided under the contract,whichisorbecomesdefectiveduringtheguaranteeperiod,shallbereplacedbythe successfulbidderfreeofchargewiththespecific understandingthatallreplacementsshallcarry thesameguaranteeastheoriginalequipment (oneyearfromthedateofacceptanceofthe replacement).Thesuccessfulbiddershallmake any such replacement immediately upon receivingnoticefromtheCounty. Delivery 47.Deliverymustbemadeasorderedandinaccordance withtheproposalandspecification.Ifdeliveryinstructions donotappearintheInstructionsorSpecification,itwillbe interpretedtomeanpromptdelivery (not to exceed30 calendar days). The decision of the County as to reasonablecompliancewithdeliverytermsshallbefinal. Burdenofproofofdelayinreceiptofordershallrestwiththe successfulbidder.Failuretodeliverbecauseofdelayed paymentsorforanyotherreasonexceptthatdescribedin Paragraph57willbecauseforopenmarketpurchaseatthe expenseofthesuccessfulbidder. 48.The County will not schedule any deliveries for Saturdays,Sundays,orlegalholidays,exceptcommodities requiredfordailyconsumptionorwherethedeliveryisan emergency,areplacement,orisoverdue,inwhicheventthe convenienceoftheCountyshallgovern. 49. Items shall be securely and property packed for shipment,storage,andstockinginnewshippingcontainers andaccordingtoacceptedcommercialpractice,without extrachargeforpackingcases,baling,orsacks. 50.Thesuccessfulbiddershallberesponsiblefordelivery ofitemsingoodconditionatpointofdestination.Heshall filewiththecarrierallclaimsforbreakage,imperfections, andotherlosses,whichwillbedeductedfrominvoices.The receivingdepartmentwillnoteforthebenefitofsuccessful bidderwhenpackagesarenotreceivedingoodcondition. 51.Unlessotherwisestatedinthespecifications,allitems mustbedeliveredintoandplacedatapointwithinthe buildingasdirectedbytheshippinginstructionsortheagent fortheCounty.Thesuccessfulbidderwillberequiredto furnishproofofdeliveryineveryinstance. 52.Unloadingandplacingoftheequipmentandfurnitureis theresponsibilityofthesuccessfulbidder,andtheCounty accepts no responsibility for unloading and placing of equipment.Anycostsincurredduetothefailureofthe successfulbiddertocomplywiththisrequirementwillbe chargedtohim.Nohelpforunloadingwillbeprovidedby the County, and suppliers should notify their truckers accordingly. 53.Alldeliveriesshallbeaccompaniedbydeliveryticketsor packingslips.Ticketshallcontainthefollowinginformation foreachitemdelivered: ContractNumber PurchaseOrderNumber NameofArticle ItemNumber Quantity Nameofthesuccessfulbidder 54.Paymentfortheusedportionofaninferiordeliverywill bemadebytheCountyonanadjustedpricebasis 55.Paymentwillbemadeonlyaftercorrectpresentationof packingslipsandinvoicesareprovidedtotherequesting departmentbythesuccessfulbidder. 56. PaymentsofanyclaimshallnotprecludetheCounty frommakingclaimforadjustmentonanyitemfoundnotto havebeeninaccordancewiththegeneralconditionsand specifications. SAVEHARMLESS 57.Successfulbiddersshallprotect,indemnify,defendand savetheCountyharmlessfromandagainstanydamage, costorliability,includingreasonableattorney'sfees,forany orallinjuriestopersonsorpropertyarisingfromactsor omissionsofthesuccessfulbidder'scompany,itsofficers, employeesandagents,includingbutnotlimitedtoclaims brought by third parties, employees of the County or employeesofthecompany. NONDISCRIMINATIONCLAUSE 58.Thebidderagreesthatitwillnotdiscriminateagainst anyemployee,applicantforemploymentorstudentbecause ofrace,creed,color,nationalorigin,religion,sex,age, disability,maritalstatus,sexualorientationorothernon- meritfactors.Suchactionshallbetakenwithreferenceto, butnotbelimitedtoemploymentpracticesandprovisionof servicesunderanycontractwiththeCountyofSaratoga. TITLEVINONDISCRIMINATIONSTATEMENT 59.TheCountyofSaratoga,inaccordancewiththeprovisionsof TitleVIoftheCivilRightsActof1964(78Stat. 252,42USC SSSS2000d to 2000d-4, and Title 49, Code of Federal RegulationsDepartmentofTransportation,SubtitleA, Office of the Secretary,Part21,NondiscriminationinFederallyassisted programsoftheDepartmentofTransportationissuedpursuant tosuchAct) herebynotifiesallbiddersthat itwillaffirmativelyensurethatanycontractenteredintopursuanttothisadvertised bid,thatdisadvantagedbusinessenterpriseswillbeaffordedfull andfairopportunity tosubmitbidsinresponsetothisinvitation andwillnotbediscriminatedagainstonthegroundsofrace, color, ornationalorigininconsiderationforanaward. The entireCountyofSaratogaTitleVIPlancanbeviewedbygoingto theSaratogaCountywebsite (www.saratogacountyny.gov). A VendorInformationquestionnaireisincludedwiththisbidwhichprovidesanopportunitytodiscloseanyDBEdesignation. FEDERALGRANTPROVISIONS 60.InadditiontootherprovisionsrequiredbytheFederalagency orCounty,allcontractsmadebytheCountyundertheFederal award must contain provisions covering the following, as applicable. (A)ContractsformorethantheSimplifiedAcquisition Thresholdcurrentlysetat$150,000,whichisthe inflationadjustedamountdeterminedbytheCivilian Agency Acquisition Council and the Defense Acquisition Regulations Council (Councils) as authorizedby41 U.S.C. 1908, must address administrative, contractual,orlegalremediesininstanceswhere contractorsviolate orbreachcontractterms,and provide for such sanctions and penalties as appropriate. (B)Allcontractsinexcessof$10,000mustaddress terminationforcauseandforconveniencebythe Countyincluding the manner by which itwill be effectedandthebasisforsettlement. (C) Equal Employment Opportunity. Except as otherwise provided under 41 CFR Part 60, all contracts that meet the definition of "Federally assistedconstructioncontract"in41CFRPart60- 1.3 must include the equal opportunity clause providedunder41CFR60-1.4(b),inaccordance with Executive Order 11246, "Equal Employment Opportunity"(30FR12319,12935,3 CFRPart, 1964- 1965 Comp., p. 339), as amended by Executive Order11375,"AmendingExecutiveOrder 11246RelatingtoEqualEmploymentOpportunity," andimplementingregulationsat41CFRpart60, "OfficeofFederalContractCompliancePrograms, Equal Employment Opportunity, Department of Labor." (D)Davis-BaconAct,asamended(40U.S.C.3141-3148). When required by Federal program legislation,allprimeconstructioncontractsinexcess of $2,000 awarded by non-Federal entities must include aprovisionforcompliancewiththeDavis- BaconAct(40U.S.C.3141-3144,and3146-3148) as supplemented by Department of Labor regulations (29 CFR Part 5, "Labor Standards Provisions Applicable to Contracts Covering FederallyFinancedandAssistedConstruction").In accordancewiththestatute,contractorsmustbe requiredtopaywagestolaborersandmechanicsat aratenotlessthantheprevailingwagesspecifiedin a wage determination made by the Secretary of Labor.Inaddition,contractorsmustberequiredto paywagesnotlessthanonceaweek.TheCounty mustplaceacopyofthecurrentprevailingwage determinationissuedbytheDepartmentofLaborin eachsolicitation.Thedecisiontoawardacontractor subcontract must be conditioned upon the acceptanceofthewagedetermination.TheCounty mustreportallsuspectedorreportedviolationsto theFederalawardingagency.Thecontractsmustalso include a provision for compliance with the Copeland"Anti-Kickback"Act(40U.S.C.3145),as supplementedbyDepartmentofLaborregulations (29CFRPart3,"ContractorsandSubcontractorson PublicBuildingorPublicWorkFinancedinWholeor inPartbyLoansorGrantsfromtheUnitedStates"). Therecipientmustbeprohibitedfrominducing,by any means, any person employed in the construction,completion,orrepairofpublicwork,to giveupanypartofthecompensationtowhichheor sheisotherwiseentitled.TheCountymustreportall suspected or reported violations to the Federal awardingagency. (E) ContractWorkHoursandSafetyStandardsAct(40 U.S.C.3701-3708).Whereapplicable,allcontracts awardedbytheCountyinexcessof$100,000that involvetheemploymentofmechanicsorlaborers must include a provision for compliance with 40 U.S.C. 3702 and 3704, as supplemented by DepartmentofLaborregulations(29CFRPart5). Under40U.S.C.3702oftheAct,eachcontractor mustberequiredtocomputethewagesofevery mechanicandlaboreronthebasisofastandard work week of 40 hours.
