Description
The Teacher Retirement System of Texas is seeking qualifications from law firms to provide outside fiduciary counsel services as needed. The selected counsel will advise the Board of Trustees, Executive Director, General Counsel, and staff on fiduciary responsibilities, ethics, conflicts of interest, public pension administration, investment matters, trust law, Texas law, federal securities laws, qualified governmental plans, and related liabilities. Services include legal opinions, review of investment policies and procedures, fiduciary and ethics training, conflict-of-interest advice, communications regarding fiduciary concerns, attendance at Board and committee meetings, and advice on ethical decision-making within a public trust. Respondents must demonstrate relevant experience with public pension systems, institutional investors, fiduciary and ethics matters, and applicable Texas law. Responses consist of a qualifications questionnaire, qualifications narrative, and required forms. The initial contract term is two years, with one optional two-year renewal term; engagements are nonexclusive, subject to approval by the Texas Office of the Attorney General, and do not guarantee any particular volume of work. Attorneys providing Texas-law advice must be licensed in Texas, and selected counsel must comply with the required outside counsel contract, ethics requirements, conflict disclosures, insurance requirements, information-security assessments, and artificial-intelligence assessment requirements.
